1. Definitions - "Company" refers to PENTECH, a website design company. - "Client" refers to the individual or organization that engages the Company's services. - "Project" refers to the website design and development services provided by the Company. - "Agreement" refers to these Terms and Conditions. 2. Scope of Work The Company agrees to provide website design and development services to the Client as outlined in the Project proposal. 3. Payment Terms - Deposit: A 50% deposit is required to initiate the Project. - Balance: The remaining balance is due upon completion of the Project. - Late Payment: A late payment fee of 5% per month will be applied to unpaid balances. 4. Intellectual Property - Ownership: The Client retains ownership of all intellectual property rights to the Project. - License: The Company grants the Client a non-exclusive license to use the Project. 5. Confidentiality The Company and Client agree to maintain confidentiality and not disclose any proprietary information related to the Project. 6. Warranties and Representations - Warranty: The Company warrants that the Project will be free from defects for a period of 30 days. - Representation: The Company represents that it has the necessary skills and expertise to complete the Project. 7. Limitation of Liability The Company's liability for damages or claims arising from the Project is limited to the amount of fees paid by the Client. 8. Termination Either party may terminate the Agreement upon written notice to the other party. 9. Governing Law The Agreement shall be governed by and construed in accordance with the laws of [State/Country]. 10. Entire Agreement The Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings. By engaging the Company's services, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
